Membership, Platform, and Travel Services Agreement

Welcome to TripsFYI. These Terms & Conditions establish the legal relationship between TripsFYI LLC and every person or organization that accesses or uses the Services. By creating an account, purchasing a membership, redeeming a membership code, browsing the platform, or making a booking, you agree to be bound by these Terms and the TripsFYI Privacy Policy.

Article I — The Agreement

This Article defines the contractual relationship between TripsFYI and its Members. These Terms govern all TripsFYI websites, applications, member portals, white-label portals, booking technology, APIs, communications, rewards, promotions, and future technologies offered by TripsFYI. Electronic acceptance has the same force and effect as a handwritten signature to the fullest extent permitted by law. TripsFYI reserves all rights not expressly granted.

Article II — Membership, Accounts, and Access

Membership provides a limited, revocable, personal, non-exclusive, non-transferable license to access eligible portions of the Services. Membership benefits, pricing, suppliers, inventory, promotions, and features may change over time subject to applicable law. Members are responsible for maintaining accurate account information, protecting login credentials, and complying with these Terms. TripsFYI may require identity verification, refuse membership, suspend or terminate accounts, or restrict access where reasonably necessary to protect Members, suppliers, the platform, or to comply with legal obligations.

Article III — Protection of the Platform

TripsFYI maintains the Services for the benefit of Members, suppliers, partners, and the long-term integrity of the platform. Improper Use includes violations of platform rules. Abuse includes fraudulent activity, multiple unauthorized accounts, chargeback abuse, credential sharing, referral manipulation, commercial misuse, or interference with TripsFYI's business. Extraordinary Abuse includes organized fraud, automated scraping, AI harvesting of proprietary data, credential-stuffing attacks, malware, attempts to compromise systems, theft of confidential information, or coordinated attacks. TripsFYI may investigate suspected violations, preserve relevant information, require additional verification, suspend or terminate accounts, cancel affected transactions where appropriate, and pursue lawful contractual or legal remedies. TripsFYI is not required to disclose its fraud-detection methods or internal security procedures.

Article IV — Travel Risks, Third-Party Suppliers, and Allocation of Responsibilities

Purpose. This Article allocates responsibilities among TripsFYI, independent travel suppliers, and travelers. It clarifies TripsFYI's limited role as a membership and technology platform and establishes that independent suppliers remain responsible for the travel services they provide.

Independent Suppliers. Except where TripsFYI expressly identifies itself in writing as the direct provider of a product or service, all hotels, airlines, cruise lines, vacation rentals, transportation companies, excursion operators, restaurants, activity providers, insurers, destination management companies and similar entities are independent third parties. Their products and services are governed by their own contracts, policies, and applicable law.

Allocation of Responsibilities. TripsFYI is responsible for operating its membership platform, facilitating bookings, maintaining member accounts, and providing platform-related support. Independent suppliers are solely responsible for the operation, maintenance, staffing, safety, regulatory compliance, and performance of the travel products and services they provide. Travelers are responsible for providing accurate information, obtaining required passports, visas, vaccinations, travel insurance if desired, following supplier instructions, complying with local laws, and exercising reasonable judgment during travel.

No Inspection or Certification. TripsFYI does not own, inspect, supervise, certify, monitor, audit, or independently verify the condition, safety, quality, legality, licensing, insurance, maintenance, staffing, operational practices, or financial condition of independent suppliers unless expressly stated in writing. The appearance of a supplier on the platform is not a certification, endorsement, or guarantee of that supplier.

Assumption of Inherent Travel Risks. Members acknowledge that travel inherently involves risks that cannot be eliminated, including accidents, illness, delays, weather events, transportation incidents, criminal acts, political instability, supplier negligence, foodborne illness, recreational injuries, and other unforeseen events. By voluntarily traveling, Members knowingly assume the inherent risks associated with travel.

Release Relating to Independent Suppliers. To the fullest extent permitted by applicable law, Members agree that claims arising from the acts or omissions of independent suppliers should generally be directed to the responsible supplier or other legally responsible party rather than TripsFYI. Nothing in this Section limits liability that cannot lawfully be waived or disclaimed under applicable law.

Courtesy Assistance. If TripsFYI voluntarily assists with supplier communications, reservation questions, refund requests, schedule changes, or similar matters, such assistance is provided as a customer service accommodation only and does not make TripsFYI the operator, guarantor, insurer, or legal representative of the supplier, nor does it create additional legal duties beyond those imposed by applicable law.

No Guarantee of Safety or Performance. TripsFYI does not guarantee the safety, quality, legality, availability, suitability, financial stability, or performance of any independent supplier. Supplier participation may change without notice.

Article V — Bookings, Reservations, Pricing, and Travel Transactions

Nature of Booking Requests. A reservation request submitted through the Services is a request to purchase travel from an independent supplier. A booking is not confirmed until accepted and confirmed by the applicable supplier. Availability may change before confirmation.

Dynamic Pricing. Travel pricing changes continuously based upon supplier inventory, demand, exchange rates, taxes, fees, promotions, occupancy, timing, technology synchronization, and other factors outside TripsFYI's reasonable control. Displayed pricing is not guaranteed until the supplier confirms the reservation.

Availability. Hotels, flights, cruises, vacation rentals, transportation, tours, excursions, dining reservations, and all other travel products remain subject to supplier availability. TripsFYI does not guarantee that any displayed inventory will remain available.

Pricing and Technical Errors. TripsFYI and its suppliers reserve the right, to the fullest extent permitted by applicable law, to correct material clerical, technical, programming, synchronization, currency conversion, inventory, tax, promotional, or pricing errors. Reservations affected by a verified material error may be corrected or cancelled before travel begins with notice provided when reasonably practicable.

Traveler Responsibility. Members are solely responsible for reviewing traveler names, dates, destinations, airports, room selections, occupancy, payment information, and all booking details before completing a reservation. Losses resulting from inaccurate information submitted by a Member remain the Member's responsibility unless otherwise required by law.

Reservation Changes and Cancellations. After supplier confirmation, changes and cancellations are governed primarily by the supplier's policies, availability, applicable fees, taxes, and contractual terms. TripsFYI does not control supplier cancellation policies and cannot guarantee that requested changes, refunds, or credits will be approved.

No Guarantee of Savings. TripsFYI seeks to provide competitive travel opportunities but does not guarantee that every reservation represents the lowest available market price or that every Member will achieve a specific amount of savings. Illustrative savings examples and testimonials are not guarantees of future results.

Article VI — Membership Fees, Payments, Renewals, Refunds, and Chargebacks

Payment Authorization. By purchasing a Membership or other product from TripsFYI, you authorize TripsFYI and its payment processors to charge the payment method you designate for applicable fees, taxes, and other authorized charges.

Automatic Renewal. Unless clearly stated otherwise at the time of purchase, recurring memberships automatically renew at the end of each billing cycle until cancelled. Any material changes to pricing or renewal terms will be handled in accordance with applicable law.

Failed Payments. If a payment is declined, reversed, or otherwise fails, TripsFYI may retry the payment, request an updated payment method, suspend Membership benefits, or terminate Membership after reasonable opportunity to cure, subject to applicable law.

Refund Policy. Refund eligibility is governed by the specific Membership or booking terms presented at purchase. Unless required by law or expressly promised in writing, Membership fees for digital access are generally non-refundable once access has been provided.

Chargebacks. Members agree to contact TripsFYI to attempt good-faith resolution of billing disputes before initiating a chargeback whenever reasonably possible. Where a chargeback is determined to involve fraud or material misuse, TripsFYI may suspend the associated account, recover unpaid amounts and reasonable collection costs where permitted by law, and pursue other contractual or legal remedies.

Fraud Prevention. TripsFYI may delay or refuse transactions reasonably believed to involve fraud, identity theft, unauthorized payment methods, sanctions violations, or other unlawful activity. Additional verification may be required before processing certain transactions.

Taxes and Government Charges. Members remain responsible for taxes, governmental assessments, resort fees, destination fees, and other mandatory charges unless expressly included in the displayed purchase price or otherwise required by law.

Article VII — Force Majeure, Service Availability, and Business Continuity

Force Majeure. TripsFYI shall not be responsible for delays, interruptions, failures, or inability to perform obligations to the extent caused by events beyond its reasonable control, including natural disasters, severe weather, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, governmental actions, border closures, sanctions, utility failures, internet outages, cyberattacks, supplier failures, transportation disruptions, or similar extraordinary events.

Service Availability. TripsFYI strives to provide reliable Services but does not guarantee uninterrupted, error-free, or continuous availability. Maintenance, upgrades, security measures, supplier system outages, or events beyond reasonable control may temporarily affect access.

Business Continuity. TripsFYI may suspend, restrict, migrate, restore, redesign, or otherwise modify the Services when reasonably necessary to maintain security, recover from outages, improve reliability, or protect Members, suppliers, and business operations.

Technology Dependencies. The Services rely on third-party infrastructure, payment processors, cloud providers, communications networks, and supplier systems. TripsFYI is not responsible for failures or interruptions caused by those independent systems, except to the extent required by applicable law.

Security Events. If TripsFYI reasonably believes a cybersecurity incident or other security threat could affect the platform or its users, TripsFYI may temporarily suspend or limit access, require credential resets, invalidate sessions, or implement other reasonable protective measures. Where required by law, affected individuals will receive any legally required notifications.

Continuous Improvement. TripsFYI may improve, redesign, expand, consolidate, localize, internationalize, automate, or otherwise evolve the Services over time. Material changes affecting paid contractual rights will be handled in accordance with applicable law.

Article VIII — Intellectual Property, Confidential Information, and Authorized Use

Ownership. All software, databases, booking technology, source code, graphics, text, photographs, videos, trademarks, logos, travel content, pricing methodologies, workflows, APIs, documentation, and other TripsFYI materials are owned by TripsFYI, its licensors, or suppliers and are protected by applicable intellectual property laws. No ownership rights are transferred to Members.

Limited License. Members receive a limited, revocable, personal, non-exclusive, non-transferable license to access and use the Services solely for legitimate personal or authorized organizational travel purposes during an active Membership.

Confidential Member Pricing. Member-only pricing, negotiated travel opportunities, preferred supplier arrangements, promotional pricing, corporate pricing, and similar benefits are proprietary business assets. Members may not intentionally publish, commercially redistribute, scrape, harvest, resell, or otherwise exploit such information for commercial purposes without TripsFYI's prior written authorization, except where applicable law provides otherwise.

Artificial Intelligence and Automated Access. Except as expressly authorized in writing, no person may use bots, crawlers, scripts, scraping tools, robotic process automation, artificial intelligence systems, or large language models to extract, reproduce, analyze, harvest, or build competing products from TripsFYI content, databases, pricing, or platform functionality.

Brand Protection. Users may not falsely claim to represent TripsFYI, create confusion regarding affiliation, register confusingly similar domains or social-media accounts, or misuse TripsFYI trademarks, branding, or goodwill.

User Content. Members retain ownership of original content they voluntarily submit but grant TripsFYI a non-exclusive, worldwide, royalty-free license to use that content to operate, improve, market, and provide the Services, subject to the Privacy Policy where applicable.

Reservation of Rights. TripsFYI reserves all intellectual property and proprietary rights not expressly granted under these Terms & Conditions.

Article IX — Member Conduct, Communications, Electronic Records, and Privacy

Acceptable Conduct. Members agree to use the Services lawfully, respectfully, and in a manner consistent with these Terms & Conditions. Members shall not knowingly harass other users, interfere with TripsFYI personnel, disrupt the Services, submit fraudulent information, upload malicious code, or otherwise engage in Improper Use, Abuse, or Extraordinary Abuse as defined elsewhere in this Agreement.

Electronic Communications. By using the Services, Members consent to receive account notices, booking confirmations, receipts, security alerts, policy updates, and other transactional communications electronically. Marketing communications will be provided in accordance with applicable law and applicable consent requirements. Members may opt out of marketing messages where permitted, but may continue receiving essential service-related communications.

Electronic Records and Signatures. Electronic records, acknowledgements, click-through acceptances, digital signatures, and similar electronic actions are intended to have the same legal effect as handwritten signatures to the fullest extent permitted by applicable law.

Privacy. TripsFYI's collection, use, disclosure, retention, and protection of personal information are governed by the TripsFYI Privacy Policy, which is incorporated into these Terms & Conditions by reference. In the event of a conflict regarding personal-information handling, the Privacy Policy governs that subject matter.

Member Cooperation. Members agree to cooperate with reasonable requests relating to account verification, fraud investigations, booking confirmation, payment verification, security matters, or legal compliance. Failure to provide reasonably requested information may result in delayed processing or restricted access where appropriate and permitted by law.

Reservation of Communication Rights. TripsFYI may communicate with Members regarding security incidents, legal notices, operational changes, supplier issues, travel disruptions, platform improvements, or other matters reasonably related to the Services using the contact information associated with the Member's account.

Article X — Platform Operations, Suspension, Termination, and Enforcement

Platform Operations. TripsFYI may maintain, enhance, redesign, migrate, consolidate, localize, expand, automate, or otherwise evolve the Services. Planned maintenance, security updates, supplier integrations, or operational changes may temporarily affect functionality or availability.

Suspension of Access. TripsFYI may temporarily suspend or restrict access where reasonably necessary to investigate suspected fraud, protect Members or suppliers, preserve platform security, comply with legal obligations, address payment failures, or respond to material violations of these Terms. Where appropriate and practical, TripsFYI may provide notice or an opportunity to resolve the issue before permanent action is taken.

Termination. Members may terminate their Membership in accordance with applicable membership terms. TripsFYI may terminate Accounts or Memberships for material breach of these Terms, fraudulent conduct, Extraordinary Abuse, unlawful activity, or other circumstances that materially threaten the integrity of the Services, subject to applicable law.

Effect of Termination. Upon termination, the limited license to access the Services ends. Sections that by their nature should survive — including intellectual property, payment obligations, limitation of liability, indemnification, dispute resolution, confidentiality, and other continuing obligations — remain in effect.

Reservation of Rights. TripsFYI's decision not to enforce a provision on one occasion does not waive its right to enforce that or any other provision later. All rights and remedies available under these Terms or applicable law are cumulative unless expressly stated otherwise.

Good Faith Business Judgment. Where these Terms grant TripsFYI discretion, the Company intends to exercise that discretion reasonably, in good faith, and for legitimate business purposes such as protecting Members, suppliers, the platform, intellectual property, confidential information, operational integrity, or compliance with applicable law. Nothing in this Section creates obligations beyond those imposed by applicable law or this Agreement.

Article XI — Disclaimers of Warranties

Services Provided "As Available." Except where expressly stated in a written agreement signed by TripsFYI, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. TripsFYI does not warrant that the Services will be uninterrupted, error-free, continuously available, or free from defects, viruses, or other harmful components.

No Warranty of Supplier Performance. TripsFYI does not warrant or guarantee the performance, quality, legality, availability, safety, suitability, financial stability, or continued participation of any independent travel supplier. Supplier descriptions, photographs, ratings, reviews, and amenities may change without notice.

No Warranty of Accuracy. While TripsFYI seeks to present accurate information, pricing, descriptions, maps, travel guidance, and destination content may contain errors, omissions, delays, or inaccuracies due to changes made by suppliers or third parties. Members remain responsible for verifying material travel information before departure.

No Professional Advice. TripsFYI does not provide legal, medical, tax, immigration, insurance, financial, security, or professional travel advice. Members should seek advice from qualified professionals when appropriate.

Third-Party Content. Links to third-party websites, supplier content, reviews, advertisements, or external services are provided for convenience only. Their inclusion does not constitute an endorsement or guarantee by TripsFYI.

Non-Waivable Rights. Nothing in this Article is intended to exclude warranties, guarantees, remedies, or consumer rights that cannot be excluded, limited, or waived under applicable law. To the extent such rights apply, this Article shall be interpreted to the maximum extent permitted by law.

Article XII — Limitation of Liability

Categories of Damages. To the fullest extent permitted by applicable law, TripsFYI and its current and former owners, officers, directors, managers, members, employees, contractors, affiliates, successors, and assigns shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, revenue, goodwill, business opportunities, data, savings, use, enjoyment of travel, or business interruption, arising from or relating to the Services.

Travel Related Losses. Subject to applicable law, TripsFYI shall not be responsible for losses arising from supplier cancellations, overbookings, delays, missed connections, weather, government actions, strikes, civil unrest, supplier insolvency, or acts or omissions of independent suppliers or third parties.

Monetary Cap. Except where prohibited by law, TripsFYI's aggregate liability arising from the Services shall not exceed the greater of (a) the amount paid directly to TripsFYI by the Member during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) US $100. This limitation does not apply where liability cannot legally be limited.

Allocation of Risk. The parties acknowledge that the pricing of Memberships and Services reflects this allocation of risk. The limitations contained in this Article are a material part of the agreement between the parties.

Preservation of Mandatory Rights. Nothing in this Article excludes liability or remedies that cannot be excluded or limited under applicable law. Where any limitation is held unenforceable, it shall be enforced to the maximum extent permitted by law without affecting the remaining provisions of these Terms.

Article XIII — Indemnification

Member Indemnification. To the fullest extent permitted by applicable law, each Member agrees to defend, indemnify, and hold harmless TripsFYI LLC and its current and former owners, members, managers, officers, directors, employees, contractors, affiliates, successors, assigns, licensors, and service providers from third-party claims, liabilities, judgments, settlements, damages, costs, and reasonable attorneys' fees arising out of or relating to: (a) the Member's material breach of these Terms; (b) unlawful or fraudulent use of the Services; (c) content submitted by the Member that infringes the rights of another; (d) misuse of Membership benefits; or (e) negligent or intentional misconduct by the Member.

Exclusions. This indemnification obligation does not apply to the extent a claim is finally determined to have been caused by TripsFYI's own conduct where applicable law does not permit indemnification or limitation.

Cooperation. TripsFYI will provide reasonably prompt notice of any claim for which indemnification is sought when practical. The Member agrees to reasonably cooperate in the defense of such claim. TripsFYI reserves the right to participate in the defense with counsel of its choosing at its own expense, or to assume the defense where appropriate.

Survival. The obligations contained in this Article survive termination of a Membership or these Terms to the extent permitted by applicable law and necessary to resolve claims arising from events occurring before termination.

Article XIV — Dispute Resolution, Governing Law, and Claim Procedures

Informal Resolution. Before commencing formal legal proceedings, a Member agrees to provide TripsFYI with written notice of the dispute and allow at least thirty (30) days for the parties to attempt good-faith informal resolution, unless immediate injunctive relief is legally appropriate.

Governing Law. Unless otherwise required by applicable law, these Terms and any dispute arising from them are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Venue. Subject to any mandatory consumer-protection laws, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Utah for disputes not otherwise resolved through agreed procedures.

Time to Bring Claims. To the fullest extent permitted by applicable law, any claim arising out of the Services must be commenced within one (1) year after the claim arose or reasonably should have been discovered. This limitation does not apply where prohibited by law.

Equitable Relief. Nothing in this Article prevents TripsFYI from seeking temporary restraining orders, preliminary injunctions, or other equitable relief when reasonably necessary to protect intellectual property, confidential information, platform security, or other rights that could suffer irreparable harm.

Attorney Review. TripsFYI anticipates that this Article may be supplemented or modified by legal counsel to include arbitration provisions, class-action waivers, or other dispute-resolution mechanisms as appropriate for the jurisdictions in which TripsFYI conducts business.

Article XV — General Provisions

Entire Agreement. These Terms & Conditions, together with the TripsFYI Privacy Policy and any additional written terms presented in connection with a specific membership, booking, promotion, or service, constitute the entire agreement between the parties regarding the Services and supersede prior understandings relating to the same subject matter.

Amendments. TripsFYI may amend these Terms from time to time. Updated versions will become effective as stated in the revised Terms. Where required by applicable law or where material changes affect paid contractual rights, TripsFYI will provide any legally required notice.

Assignment. Members may not assign or transfer their rights or obligations under these Terms without TripsFYI's prior written consent. TripsFYI may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar corporate transaction, to the extent permitted by applicable law.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid provision shall be interpreted, modified, or limited only to the minimum extent necessary to make it enforceable where permitted by law.

No Waiver. A failure or delay by TripsFYI to enforce any right or provision shall not constitute a waiver of that or any other right or provision.

Survival. Provisions relating to intellectual property, payment obligations, confidentiality, indemnification, limitation of liability, dispute resolution, governing law, and any provisions that by their nature should survive termination shall remain effective following termination of these Terms or a Membership.

Headings. Article titles and section headings are provided for convenience only and do not alter the meaning or interpretation of these Terms.

Contact Information. Questions regarding these Terms may be directed to TripsFYI LLC through the contact information published on the official TripsFYI website or other designated support channels.

Article XXII — Corporate and White-Label Administration

TripsFYI may offer corporate, association, employer, nonprofit, influencer, franchise, or white-label portals. Organizations are responsible for administering their users, maintaining accurate eligibility information, protecting credentials, and complying with their agreements with TripsFYI. TripsFYI may suspend organizational access where fraud, security concerns, contractual breach, or legal compliance issues reasonably require it.

Article XXIII — Referral, Affiliate, and Influencer Programs

Participation in referral or affiliate programs does not create employment, agency, partnership, or fiduciary relationships. Commissions, if offered, are earned only under the applicable written program terms. TripsFYI may investigate referral abuse, artificial transactions, self-referrals, automated signups, or other fraudulent activity and may reverse commissions obtained through abuse.

Article XXIV — Promotions, Rewards, and Credits

Promotional offers, coupons, credits, and rewards have no cash value unless expressly stated otherwise. TripsFYI may correct promotional errors, cancel benefits obtained through fraud, establish expiration dates, and modify future promotional programs subject to applicable law.

Article XXV — International Use

Members are responsible for compliance with local laws, customs, currency restrictions, export controls, sanctions, immigration requirements, and other legal obligations applicable to their travel or use of the Services. TripsFYI may restrict access in jurisdictions where operation would create unreasonable legal risk.

Article XXVI — Security and Responsible Use

Members agree to protect account credentials, promptly report suspected compromise, avoid introducing malicious software, and refrain from attempting unauthorized access, security testing without permission, denial-of-service activity, or interference with the Services. TripsFYI may preserve logs and cooperate with lawful investigations.

Article XXVII — Future Products and Technologies

These Terms apply to future TripsFYI technologies and services, including artificial intelligence features, voice interfaces, wearable integrations, APIs, mobile applications, new booking channels, and successor technologies, unless superseded by separate written terms.
